Definitions

• "We", "Us", "Our" — Oxbow Lane, a marketing operations consultancy based in Bangkok, Thailand.
• "Service" — Any consulting session, project, or advisory engagement delivered by Oxbow Lane, including but not limited to the Marketing Routine Session, Marketing Operations Project, and Marketing Operations Advisory.
• "Client", "You", "Your" — Any individual, company, or organisation that engages with us or accesses our website.
• "Content" — All materials, documents, templates, frameworks, and written guidance produced or provided in connection with a Service.
• "Agreement" — These Terms and Conditions, together with any applicable engagement letter or service proposal accepted by both parties.
• "Website" — The website operated by Oxbow Lane at oxbowlanex.pro.

Acceptance of Terms

By submitting an enquiry, confirming an engagement, or making a payment, you indicate your acceptance of this Agreement in full. Use of our website also constitutes acceptance of these terms.

• You must be at least 18 years of age or have the legal authority to enter into agreements on behalf of your organisation.
• If you are acting on behalf of a company, you confirm that you have the authority to bind that company to these terms.
• If you do not agree with any part of this Agreement, please do not engage our services.

Service Description

Oxbow Lane provides marketing operations consulting focused on workflow structure, planning processes, and operational rhythm. Our services are educational and advisory in nature and cover three main offerings:

• Marketing Routine Session — A structured working session reviewing current marketing activities and identifying areas where simple process improvements may help.
• Marketing Operations Project — A collaborative engagement to build a repeatable workflow for planning, producing, and reviewing marketing activity.
• Marketing Operations Advisory — An ongoing advisory relationship providing regular reviews and written guidance to help teams maintain organised marketing activity.

Services are delivered primarily to business clients in Thailand. We reserve the right to decline or discontinue a service at our discretion, with appropriate notice.

User Responsibilities

To allow us to deliver our services effectively, you agree to:

• Provide accurate and complete information when requested.
• Respond to reasonable communications within agreed timescales.
• Make relevant team members available for sessions or reviews as agreed.
• Use any Content we provide for your own internal business purposes only.
• Not reproduce, redistribute, or resell our materials without prior written consent.
• Not use our website or services in any way that breaches applicable law.
• Not attempt to reverse-engineer, copy, or replicate proprietary frameworks or methodologies.

Intellectual Property

All methods, frameworks, templates, and written materials produced by Oxbow Lane remain the intellectual property of Oxbow Lane unless otherwise agreed in writing.

• Upon full payment, you receive a limited, non-exclusive licence to use Content delivered to you for your own internal business purposes.
• This licence does not permit commercial resale, sublicensing, or public distribution of our materials.
• Any pre-existing materials you provide to us remain your property at all times.
• Website content, design, and copy are owned by Oxbow Lane. Unauthorised reproduction is not permitted.

Payment Terms

• Pricing — All fees are quoted in Thai Baht (฿) and are subject to applicable taxes.
• Payment — Payment terms will be confirmed in the engagement proposal. For project and session engagements, payment is typically required before commencement. Advisory retainers are invoiced monthly.
• Cancellations — Cancellations requested more than five (5) working days before a scheduled session will receive a full credit. Cancellations within five working days may be subject to a partial fee to cover time already allocated.
• Refunds — Refunds for work already delivered are assessed on a case-by-case basis at our discretion. We aim to resolve any concerns through discussion in the first instance.
• Late Payment — We reserve the right to pause service delivery on overdue accounts.

Service-Specific Terms

Disclaimers

Our services are provided on a professional best-efforts basis and are intended to support your team's thinking and process organisation.

• We do not represent that any particular business outcome will follow from engagement with our services.
• Nothing we provide constitutes legal, financial, tax, or regulatory advice.
• The website and its content are provided "as available". We do not warrant that the website will be free from interruption or error.
• We are not liable for decisions made by you or your organisation based on our guidance.

Limitation of Liability

To the fullest extent permitted by Thai law:

• Our total liability for any claim arising from a service engagement will not exceed the fees paid by you for that specific engagement.
• We are not liable for indirect, incidental, consequential, or punitive losses, including lost profit, lost data, or business interruption.
• We are not liable for events outside our reasonable control, including force majeure events such as natural disasters, government action, or communications failures.

Indemnification

You agree to hold harmless and indemnify Oxbow Lane, its consultants, and representatives from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of this Agreement, your misuse of any Content we provide, or any third-party claims related to your use of our services.

Termination

• Either party may terminate an engagement by providing written notice in accordance with the terms of the relevant service.
• We reserve the right to terminate any engagement immediately if you breach a material term of this Agreement.
• On termination, any fees for work already completed remain payable.
• Sections relating to intellectual property, disclaimers, liability, and dispute resolution survive termination.

Dispute Resolution

This Agreement is governed by the laws of the Kingdom of Thailand. Any disputes will be handled as follows:

1. Informal Resolution: We encourage parties to raise concerns in writing and attempt resolution within 20 business days.
2. Mediation: If informal resolution is not reached, either party may request mediation through a mutually agreed neutral third party.
3. Jurisdiction: Any legal proceedings, if necessary, will be brought in the competent courts of Bangkok, Thailand.

General Provisions

• Entire Agreement: This Agreement, together with any engagement proposal, constitutes the entire agreement between the parties on its subject matter.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any term on one occasion does not constitute a waiver of that term going forward.
• Assignment: You may not assign rights or obligations under this Agreement without our prior written consent.
• Notices: Written notices should be sent to [email protected] or to our registered address.

Changes to Terms

We may update these Terms and Conditions from time to time to reflect changes in how we operate or in applicable law. The updated version will be published on this page with a revised effective date. Continued engagement with our services after the updated date constitutes acceptance of the revised terms.
